These Terms govern your use of this website and set out the basis on which Sudha Khandelwal provides Agile coaching, training and workshops, keynote speaking and career coaching services. By using this website or engaging us, you agree to these Terms.

You may use this website for lawful purposes only. You must not attempt to gain unauthorised access to it, interfere with its operation, introduce malicious code, scrape it systematically, or use it in any way that damages or impairs its availability.
We take care to keep the information on this site accurate and current, but we provide it for general information only. It does not constitute advice, and we give no warranty that the site will be uninterrupted or error free.
We offer Agile coaching for teams and leaders, training and workshops, keynote and conference speaking, and one-to-one career coaching. The specific scope, duration, deliverables, dates and fees for any engagement are set out in a written proposal, statement of work or booking confirmation. Where anything in that document conflicts with these Terms, that document prevails.
Coaching, training and speaking are collaborative and depend heavily on the participation, openness and follow-through of the people and organisations involved. We bring professional skill and experience, but we do not guarantee any particular commercial, organisational, performance or career outcome, including promotions, certifications, revenue, delivery velocity or transformation results.
Our services are professional development services. They are not psychological therapy, counselling, medical treatment, legal advice, financial advice or investment advice, and they must not be relied on as a substitute for advice from a qualified professional in those fields.
Fees are set out in the applicable proposal or booking confirmation and are exclusive of any applicable taxes unless expressly stated. Speaking engagements may additionally require reasonable travel, accommodation and related expenses, which will be agreed in advance.
Unless otherwise agreed in writing, invoices are payable within 14 days of issue. Confirmed speaking and workshop dates may require a deposit to secure the date. We reserve the right to suspend delivery where undisputed invoices remain unpaid.
Because dates are held exclusively for you, cancellation terms apply. Unless the proposal states otherwise:
Individual coaching sessions may be rescheduled with at least 24 hours notice. Sessions missed without notice are treated as delivered.
If we must cancel or postpone for reasons within our control, we will offer a mutually convenient alternative date or refund fees paid for undelivered work.
To get value from the work, you agree to provide accurate background information, ensure participants are available for scheduled sessions, provide a suitable venue and equipment where sessions are delivered on site, and give us reasonable access to the people needed to do the work.
Each party agrees to keep the other party's confidential information in confidence and not to disclose it without consent, except where disclosure is required by law.
Coaching conversations are treated as confidential. Where an engagement is sponsored by an employer, we will agree at the outset what may be reported back; typically this is limited to attendance and general themes rather than the content of individual conversations. Confidentiality may be set aside where there is a serious risk of harm or where the law requires disclosure.
All content on this website, and all frameworks, models, slide decks, workbooks, exercises and other materials we provide, remain our intellectual property or that of our licensors.
On payment in full, participants receive a non-exclusive, non-transferable licence to use the materials supplied for their own internal, non-commercial purposes. You must not resell, publish, sublicense, or deliver our materials as your own training, or adapt them for commercial distribution, without our written consent.
Sessions may not be recorded, filmed, photographed or streamed without our prior written consent.
We may wish to reference an engagement, use a client logo, or publish a testimonial. We will only do so with your prior consent, and you may withdraw that consent at any time by contacting us.
This website links to third-party websites and embeds third-party content such as videos. We do not control that material and are not responsible for its accuracy, availability or practices.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, for fraud, or any rights you have under consumer law that cannot be excluded.
Subject to that, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data, however arising. Our total aggregate liability in connection with an engagement is limited to the fees actually paid to us for that engagement.
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms or your misuse of our materials.
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including illness, travel disruption, natural events, industrial action, war, epidemic or failure of public infrastructure. Where such an event occurs, the parties will work in good faith to reschedule.
Personal information is handled in accordance with our Privacy Policy, which forms part of these Terms.
